Terms of Service
These terms cover what we sell, what it costs, what the refund mechanics actually are, and what happens if either side wants to walk away. No mystery clauses. If a term is unclear, email support@aiautomation.ng before you sign anything.
All prices are exclusive of VAT (7.5% added at invoice as required by the Value Added Tax Act). Prices are quoted in Nigerian Naira (₦) and invoiced in Naira unless otherwise agreed in writing.
2. The two guarantees, defined precisely
The audit guarantee · "If we don't find 40+ hours of waste, the week is free."
Applies to: AI Readiness Audit.
What it means: at the end of the 1-week audit we deliver a written blueprint. If the blueprint identifies fewer than 40 quantified weekly hours of waste across your operation (with our methodology shown), we refund 100% of the ₦1.8M audit fee on request, no negotiation. The "40 hours" is the floor, not a stretch goal.
Limit: one refund per business. We do not run the audit a second time at our cost.
Beyond the guarantee above, we make no other outcome promises. All "₦X recovered / month", "X% auto-resolve", "X× output multiplier" figures on the marketing site are modelled projections based on industry benchmarks, not guaranteed outcomes for any specific client.
3. Payment, cancellation, refunds
Payment terms
Audit — paid at booking. Refundable until the kickoff call begins. Non-refundable after, subject to the audit guarantee.
Pilot / Full Build — 50% on signature, 50% on agreed milestone. Defined in your SOW.
Subscriptions — monthly in advance, net-15. 3-month minimum on any new subscription.
Cancellation
Subscriptions — 30 days' written notice. We continue service through the notice period; you owe through the notice period.
Build engagements — per the termination clause in your SOW (typically 30 days' notice + pro-rata work-to-date).
Refund mechanism
To claim under the audit guarantee: email support@aiautomation.ng with subject "Refund Claim" and a one-line reference. We acknowledge within 2 business days and resolve within 14 days. Refunds are sent to the original payment method.
4. What you own, what we own
You retain ownership of your data, your customer data, your brand assets, and any process documentation you provide us.
We retain ownership of our agent code, our prompts, our integration framework, and our methodologies — including improvements made during your engagement.
Outputs we generate specifically for you (blueprints, reports, custom-trained prompts) are licensed to you for unlimited internal business use.
We may use anonymised, aggregated learnings to improve future engagements. We will never name you or your data without your written permission.
5. Confidentiality
By default, every engagement is mutually confidential. We treat your business data, financials, customer lists, and internal processes as Confidential Information for the duration of the engagement plus 3 years. We will sign your standard NDA without question; if you don't have one, our default mutual NDA is available on request.
6. What we will not do
We will not file taxes, move money, or transact financial instruments on your behalf. Those are licensed activities. Our agents prepare filings and reconciliations; your licensed accountant or treasury team submits.
We will not provide medical, legal, financial, or regulatory advice as part of an agent output. Our blueprints flag where licensed counsel is required.
We will not bypass third-party platform terms of service to deliver outcomes (e.g. no scraping where prohibited, no automation that violates WhatsApp Business policy).
7. Limitation of liability
To the maximum extent permitted under Nigerian law:
Our total aggregate liability under any engagement is capped at the total fees paid to us in the 12 months preceding the claim.
Neither party is liable for indirect, consequential, or lost-profits damages.
The two refund guarantees above represent your sole remedy for failure to meet their respective thresholds.
Nothing in this clause limits liability for fraud, gross negligence, or wilful misconduct.
8. Service availability
The marketing website (aiautomation-ng.vercel.app) is provided on a best-effort basis. We do not guarantee specific uptime for the marketing pages. Per-engagement SLAs for agents we operate on your behalf are defined in your SOW.
9. Trademarks & third-party tools
Our agents integrate with third-party platforms (Paystack, Flutterwave, OPay, Moniepoint, WhatsApp Business API, Sage, QuickBooks, Zoho, Slack, Intercom, etc.). These names and logos belong to their respective owners and are used nominatively to describe capability. No affiliation, partnership, or endorsement is implied unless explicitly stated in writing.
10. Dispute resolution
If a dispute arises:
Step 1 · negotiation — both parties meet (in person or video) within 14 days of written notice and attempt good-faith resolution.
Step 2 · mediation — if unresolved after 30 days, parties submit to mediation under the Lagos Multi-Door Courthouse rules.
Step 3 · litigation — failing mediation, exclusive jurisdiction lies with the Lagos State High Court.
11. Changes to these terms
We may update these terms. Material changes will be announced via email to active clients at least 30 days before they take effect. The current version is always available at aiautomation-ng.vercel.app/terms.
12. Governing law
These terms are governed by the laws of the Federal Republic of Nigeria. Any conflict between these terms and a signed engagement letter is resolved in favour of the engagement letter.
